Conrad H. Lee
Conrad Lee represents emerging growth companies and venture capital funds across all stages of the business life cycle. His practice spans a broad range of corporate and transactional matters, including venture capital and growth equity financings, mergers and acquisitions, securities, private equity investments, employment, and general corporate and commercial matters.
Conrad regularly advises issuers and investors on preferred stock financings from seed through later-stage rounds, with deal sizes ranging from several million to over US$150 million, as well as on more bespoke financing structures such as recapitalizations, tender offers, and venture debt. On the investor side, he represents venture capital funds in both lead and minority positions. His M&A experience includes acting as lead associate on transactions up to approximately C$125 million and supporting deal teams on transactions valued in excess of US$1 billion, including by way of plan of arrangement. He routinely manages corporate transactions, including debt and equity financings, and handles a variety of commercial, regulatory, corporate governance, and pre-litigation matters.
Previously, Conrad practiced with the Emerging Companies and Venture Capital group at Cooley LLP in San Francisco and with the Corporate group at Cassels Brock & Blackwell LLP in Toronto. Conrad earned his J.D./M.B.A. from Queen's University, where he participated in the Queen's University Alternative Asset Fund, a student-managed portfolio focusing on alternative investment strategies. Outside of work, Conrad enjoys spending time with his family, traveling, cycling, and tackling (small) home improvement projects.
